Board of Directors

The Board of Directors remains in office until the shareholders’ meeting called to approve the 2022 Annual Accounts.

It is comprised as follows:

Chairman and CEO Walter Bertin Executive

Walter Bertin is the Chairman, Chief Executive Officer and founder of Labomar. A third-generation pharmacist born in 1959, he has always nurtured an interest in formulas and new discoveries and created Labomar in 1998 out of a small, galenical lab of the pharmacy he owned — a gamble that proved to be great success. As the CEO, he has all the operational, managerial and financial responsibilities typical of the role.

Walter Bertin was a member of the board of Federfarmal from 1989 to 1992, where he helped establish Farmarca, a consortium of pharmacies in the province of Treviso, and was then Chairman until 2004. He was also a member of the governing council of Federsalus from 2011 to 2018.

Since 2012, he has been a member of the executive board of Assindustria Veneto Centro, an association born out of the unification of Confindustria Padua and Unidustria Treviso, where he has been responsible for the Treviso area since 2018.

Vice Chairperson Gasparato Sabrina Non-executive

The wife of Walter Bertin, Sabrina Gasparato works part-time for the company in the human resources unit. She has been the Vice Chairperson for Labomar since 2018 and is also the sole shareholder and sole director of Labofit S.r.l. (a company that manages a fitness centre open to both Labomar employees and the general public).

Board member Claudio De Nadai Executive

Claudio De Nadai was born in Treviso on October 6, 1964. He has a degree in Economics and Commerce from the University of Trieste. He worked in the family business, Becher S.p.A., from 1988 to 1999, where he was first in finance and administration, and partly in the commercial area, before being appointed General Manager with direct responsibility over the Finance & Credit area. He started a consulting business in 2000 with the goal of providing strategy, management, organisational and financial assistance to small and medium-sized enterprises (SMEs). He also played an active role, often as team leader, in mergers and acquisitions (M&A) and in private equity negotiations for dozens of operations. He has been actively collaborating with Unindustria Treviso (now Assindustria Venetocentro) since 2001, where he has served on the Board of Presidents, as SME President, since December 2016.

Since 2015, he has been a senior advisor for VAM Investments Group S.p.A., a private equity firm that conducts investments under the club-deal model. He serves an independent-expert member on the boards of directors or advisory boards of a number of highly respected companies in the region. Finally, in addition to being a member of the board of directors of Importfab, he has been a member of the board of Labomar since 2018, after working for many years as an external consultant for financial strategy.

He is also the appointed Investor Relations Manager for Labomar.

Board member Lorenzo Zambon Non-executive

Lorenzo Zambon graduated in Business Economics from the Luigi Bocconi University (Milan) in 1999. He began his professional career with the asset management firm Lazard, in Milan and London, where he rose through the ranks working on mergers and acquisitions (sales, acquisitions, partnerships, mergers, and debt restructuring) for Italian and international institutional clients, including private equity funds and publicly traded corporations in a range of industries, such as real estate, banking, and insurance.

He worked for Mayhoola for Investments LLC, an investment entity based in Qatar, from 2013 to 2018, where he was responsible for the research and execution of new investments by the group, including creation and management of the related investment holding companies in Luxembourg and Italy.

On behalf of Mayhoola for Investments LLC, he was a non-executive member of the board of directors of Valentino Fashion Group S.p.A. (now Valentino S.p.A.) from 2013 to 2017, and he was a non-executive member of the board of directors of Forall Confezioni S.p.A. from 2014 to 2017.

Since 2019, he has been a partner at Cleon Capital S.L., an independent investment firm with offices in Spain and Italy, which selects and structures strategic and operational private equity investments in partnership with a select group of private and institutional investors and family offices, both domestic and international.

Board member Renzo Torchiani Non-executive

Born in Brescia in 1974, he received a degree in Jurisprudence from the University of Parma in 1998 and an MBA in Corporate Finance from Bocconi University in Milan in 2011. He has two decades of experience in consulting and has held senior roles in leading organisations in the fields of banking and financial services. He holds the office of Chief Executive Officer for Total Leasing S.p.A. (Brescia) and for Five Holding S.r.l. (Brescia).

Board member Alberto Baban Independent pursuant to Article 6-bis of the AIM Italy Issuers’ Regulation

Born in 1966, Alberto Baban has been a business leader for three decades. His career began in earnest at Comital S.p.A. (Montemurlo – PT), where he was primarily involved in the commercial area, helping the company to grow in the northeast.

He would leave this company in 1998 to create various new start-ups with other entrepreneurial partners: Baxer Srl, Baxto Srl, both in the plastics industry; MCI project Srl, Core Srl, and Tapì Srl.

In 2011, he founded Tapi S.p.A., a cutting-edge producer of synthetic corks, and sold his stake in the company in 2016. He is the chairman of VeNetWork S.p.A., a start-up incubator in north-eastern Italy and now a point of reference for the Veneto economy. He is a member of the Board of Presidents of the General Council of Confindustria Venice as well as a member of the Confindustria General Council. He is also a member of the corporate advisory board of LUISS Business School and member of the board of Ca’ Foscari Innovation. Finally, he is a member of the executive board of UNICEF Italy.

Board member Ugo Di Francesco Non-executive

With over three decades of experience in the pharmaceuticals industry, Ugo di Francesco began his career as a pharmaceutical sales representative and developed his career to become business unit head for a number of Italian and international public and private organisations.

In 1998, he was appointed as director of the Oncology unit Bristol Myers Squibb, based in Rome, and became vice-president of the Italian Pharmaceuticals division in 2000.

In 2002, he joined Novartis, where he held a variety of positions, first as the commercial director for Novartis Italy, followed by CEO and Country Head at Novartis s.r.o. for Slovakia and the Czech Republic, and finally as CEO and Country Head for Novartis Pharma S.p.A. in Italy.

He then served as Vice-president for South East Europe, Middle East and Africa for Amgen Corp. (California), working out of the company’s headquarters in Zug, Switzerland.

From 2007 to 2011, we as executive vice-president and CEO of Sigma-Tau S.p.A., where he oversaw the acquisition of the Specialty Care business of Enson, in the United States, and the start-up of Sigma-Tau India.

Since 2011, he has been the CEO at the Chiesi Group, where he oversees all of the organisation’s operations around the world. Di Francesco also represents Chiesi as a member of the International Federation of Pharmaceutical Manufacturers and Associations (IFPMA) and as a member of the Farmindustria council.

Board of Statutory Auditors

The Labomar S.p.A. Board of Statutory Auditors was appointed by the shareholders on September 15, 2020. It will remain in office until the Shareholders’ Meeting called to approve the 2022 Annual Accounts.

The Board of Statutory Auditors is composed as follows:

Chairman Tiziano Cenedese

Born in 1960, Tiziano has a degree in Economics and Commerce and has been enrolled in the Accountants’ Register of Treviso since 2000.

In 1984, he opened his own firm, where, to this day, he provides services of financial analysis, management control, tax audits and due diligence, business valuations for M&As and LBOs, corporate reorganisations and other extraordinary operations, contract and corporate law, and other financial and fiscal consulting. He serves as member of the board of directors or a statutory auditor for a number of companies.

Statutory Auditor Mirko Pozzobon

Born in Treviso on July 17, 1975, he has a degree in Economics and Commerce, with a concentration in Business Administration and Corporate Law, from the University of Venice “Ca’ Foscari”.

He has been enrolled with the Treviso Registers of Accountants and of Auditors since 2005.

He has been an accountant and an auditor since 2000.

He was a court-appointed expert and insolvency practitioner for the Court of Treviso until 2014. He currently serves as statutory auditor on the boards of various companies in a range of industries.

Statutory Auditor Giuseppe Bacchin

Born in Asolo (TV) on May 13, 1959.

Giuseppe has a degree in Economics and Commerce from the University of Venice “Ca’ Foscari” and has been enrolled with the Treviso Register of Accountants since 1991 and with the Register of Auditors since 1995.

Since 1991, he has been a partner in his own firm, Bacchin Berton & Associati, based in Asolo (TV), where he provides services of accounting and financial consulting, auditing for both business and public bodies, tax law, fiscal consulting, business law, and bankruptcy proceedings.

Alternate Auditor Lorenzo Fracasso

Born in 1964, Lorenzo has a degree in Corporate Economics from the University of Venice Ca’ Foscari. He has been enrolled with the Treviso Registers of Accountants and of Auditors since 1991. He gained extensive experience in account auditing with the Italian unit of the multinational auditing firm PricewaterhouseCoopers. Enrolled with the Treviso Registers of Accountants and of Auditors, he also completed post-graduate studies at SAF Triveneto in both management control and business valuation.

He is an instructor of mergers and spin-offs at Scuola Praticanti, a school for practicing accountants in the provinces of Venice and Treviso. He has experience with extraordinary corporate transactions, providing services of financial analysis, business plans, and business valuation.

He provides consulting for corporations in the fields of fiscal, corporate and contract law, financial planning, management control, and financial analysis.

He also provides court-appointed sworn valuations, services of inheritance and donation planning, and the management of family settlements and agreements. He serves as member of the board of directors or as auditor for a number of companies in a range of industries.

Alternate Auditor Alberto Pellizzato

Born in Venice on December 16, 1969, Lorenzo has a degree in Business Administration, with a concentration in Corporate Law, from the University of Venice Ca’ Foscari.

He has been enrolled with the Treviso Register of Accountants since 2001 and with the Register of Auditors since 2006.

He has collaborated with various law firms, including the tax-law firm associated with Ernst & Young in Padua (2001-2003) and Studio Cenedese (2005-2016), gaining experience in corporate and fiscal consulting, financial reporting, and extraordinary transactions.

He has been a speaker at various conferences and courses on accounting, fiscal, and tax-law matters. As at the date of the Admission Document, he is a collaborator with Studio Brunello STP S.r.l. in Venice-Mestre.
