Board of Directors
The Board of Directors remains in office until the shareholders’ meeting called to approve the 2028 Financial Statements.
It is comprised as follows:
Walter Bertin, who holds a degree in Pharmacy from the University of Padua and a Master’s degree in Lean Management from the CUOA Business School, is the Chief Executive Officer and Founder of Labomar S.p.A., an Italian company operating internationally in the development and contract manufacturing of food supplements, medical devices, medicines, foods for special medical purposes and cosmetics. A third-generation pharmacist, in 1998 he founded Labomar, transforming the family pharmacy’s compounding laboratory into an industrial enterprise now present in major international markets. Since 2023, he has been Vice-President of Confindustria Veneto Est with responsibility for the Treviso area, Environmental Transition and ESG, following over eleven years of involvement in the association system, which began in 2012 as a member of the Executive Board of Unindustria Treviso, later Assindustria Venetocentro. Since 2025, he has been Vice-President of CUOA Business School, a management school based in Altavilla Vicentina (Vicenza). He served as a Director of Federfarma, contributing to the establishment of Farmarca, a consortium of pharmacies in the province of Treviso, of which he was President until 2004. Alongside his entrepreneurial activities, he is committed to promoting sustainability, innovation and the economic development of the region, supporting initiatives that foster dialogue between business, culture and society, with a particular focus on contemporary art as a driver of cultural and social growth.
Claudio De Nadai was born in Treviso in 1964 and he has a degree in Economics and Commerce from the University of Trieste. He worked in the family business, Becher SpA from 1988 to 1999, where he was first in finance and administration, and partly in the commercial area, before being appointed General Manager with direct responsibility over the Finance & Credit area. He started a consulting business in 2000 with the goal of providing strategy, management, organisational and financial assistance to small and medium-sized enterprises (SMEs). He also played an active role, often as team leader, in mergers and acquisitions (M&A) and in private equity negotiations for dozens of operations. He has been actively collaborating with the actual Confindustria Veneto Est since 2001, where he has served on the Board of Presidents, as SME President, since December 2016. He is Regional Vice President of 'Confindustria Piccola Impresa' and Member of the General Council of 'Confindustria Piccola Impresa Nazionale'.
Since 2015, he has been a senior advisor for VAM Investments Group S.p.A., a private equity firm that conducts investments under the club-deal model. He is as an independent-expert member on the boards of directors or advisory boards of a number of highly respected companies in the region. Finally, in addition to being a member of the board of directors of Importfab (Labomar controlled canadian company), he has been a member of the board of Labomar since 2018, after working for many years as an external consultant for financial strategy.
He was also the appointed Investor Relations Manager for Labomar during EGM listing.
Lorenzo Zambon graduated in Business Economics from the Bocconi University (Milan) in 1999. He began his professional career with the asset management firm Lazard, in Milan and London, where he rose through the ranks working on mergers and acquisitions (sales, acquisitions, partnerships, mergers, and debt restructuring) for Italian and international institutional clients, including private equity funds and publicly traded corporations in a range of industries, such as real estate, banking, and insurance.
He worked for Mayhoola for Investments LLC, an investment entity based in Qatar, from 2013 to 2018, where he was responsible for the research and execution of new investments by the group, including creation and management of the related investment holding companies in Luxembourg and Italy.
On behalf of Mayhoola for Investments LLC, he was a non-executive member of the board of directors of Valentino Fashion Group S.p.A. (now Valentino SpA) from 2013 to 2017, and he was a non-executive member of the board of directors of Forall Confezioni SpA from 2014 to 2017.
Since 2019, he has been a partner at Cleon Capital S.L., an independent investment firm with offices in Spain and Italy, which selects and structures strategic and operational private equity investments in partnership with a select group of private and institutional investors and family offices, both domestic and international.
Born in Treviso in 1969, Luciano Marton is a Manager with solid experience in international business, with a strong focus on results and a proven ability to integrate resources. From 2000 to today he has held positions of General Management, Director and Member of the Board of Directors, Site Manager, Head of Business and Operations, in medium-large, structured, technological, international and continuously growing companies. At the beginning of his career he took on roles in the administrative and financial fields, thanks to which he developed fundamental skills to correctly evaluate business decisions and new projects. He has dealt with the management of markets in the main areas of the world, from a commercial point of view (customers, distributors, agents), and from an operational point of view (branches activities, orders abroad, installations, after-sales services). Used to leading multidisciplinary work teams, with strong engineering skills, he knows family businesses, but also the logic of multinationals. His professional career has matured in various sectors: Garage Equipment & Automotive, Digital & Telematics, Railway, Iron and Steel, Logistics and Industrial in general. He has studied the issues related to Sustainability and believes that if practiced concretely, it is a real competitive factor for the company, which also becomes more attractive for new talent. From 2019 to January 2023 he held the role of General Manager Garage Equipment and Telemobility of TEXA SPA (Monastier - TV), where he previously held the function of General Sales Director. In 2008 he joined MERMEC SPA (Monopoli - BA) as Business Unit Director Industrial & Advanced Services, Managing Director Mermec UK and Site Manager. This professional experience is linked to that in TECNOGAMMA SPA (Badoere - TV) where, since 1998, he first joined as Head of the AFC, Purchasing and Quality areas and, subsequently, as General Manager until he held the position of President and Director Delegate. Along this path, Marton supported the progressive growth and managerialization of the company, later acquired by MERMEC in 2008. From 2014 to 2017, he held the position of Vice President of Unindustria Treviso with powers to Sustainability, Taxation, the Association's Budget. He is co-founder of the Sustainability Project of Assindustria Venetocentro.

The Board of Statutory Auditors is composed as follows:
Born in 1960, Tiziano has a degree in Economics and Commerce and has been enrolled in the Accountants’ Register of Treviso since 2000.
In 1984, he opened his own firm, where, to this day, he provides services of financial analysis, management control, tax audits and due diligence, business valuations for M&As and LBOs, corporate reorganisations and other extraordinary operations, contract and corporate law, and other financial and fiscal consulting. He serves as member of the board of directors or a statutory auditor for a number of companies.
